These Terms of Service ("Terms") constitute a legally binding agreement between you and Clip Badger ("we," "us," or "our"), concerning your access to and use of the Clip Badger service at app.clipbadger.com (the "Service"). By accessing the Service, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.
You must be at least 13 years of age to use the Service. By using the Service, you represent that you meet this requirement.
Clip Badger is an AI-assisted video editing tool for streamers. You upload raw stream footage, the Service analyzes it and suggests editing decisions, and you review and approve all cuts before exporting. The Service does not automatically cut, publish, or distribute your content.
AI-generated suggestions are provided for informational purposes only. They may be inaccurate, incomplete, or unsuitable for your intended use. You are solely responsible for reviewing all suggested edits and for the content of any final export.
We do not guarantee uninterrupted or error-free availability of the Service. The Service may be temporarily unavailable due to maintenance, upgrades, or circumstances beyond our control.
You may be required to register for an account. You agree to keep your login credentials confidential and are responsible for all activity under your account. You may not share your account with others or create accounts by automated means.
We reserve the right to suspend or terminate accounts at our sole discretion for any violation of these Terms, abuse, fraud, excessive resource consumption, or conduct harmful to other users or the Service.

You retain all ownership rights to the video content you upload to the Service ("Your Content"). By uploading content, you grant us a limited, non-exclusive license to process, analyze, and store Your Content solely for the purpose of providing the Service to you. We do not claim ownership of Your Content and will not use it for any purpose other than delivering the Service.
We do not use Your Content to train general-purpose AI models.
You represent that you own or have the necessary rights to all content you upload, and that your content does not violate the rights of any third party.
We may use trusted third-party infrastructure and AI processing providers to operate the Service. These providers process your content only as necessary to deliver the Service and are bound by confidentiality obligations.
All uploaded content is processed by automated systems. We do not routinely review uploaded footage manually. Access to uploaded content may occur when necessary for technical support, security investigation, legal compliance, or abuse prevention.
Source files are automatically deleted 7 days after upload. Exported files are automatically deleted 14 days after creation. Some derived metadata, analytics, logs, or account information may persist longer as necessary to operate the Service.

Clip Badger uses a credit-based model. You purchase packs of processing hours ("Credits") as one-time purchases. There are no recurring subscription charges.
Paid Credits do not expire as long as the Service remains active and your account is in good standing.
Free Credits (monthly promotional grants) reset on the first of each month. Unused free credits do not carry over to the following month and have no monetary value.
All payments are processed through Polar, our third-party payment provider. By completing a purchase, you agree to Polar's terms of service. We do not store your payment credentials.
We reserve the right to change pack pricing at any time. Price changes apply to future purchases only and do not affect Credits you have already purchased.
Service Discontinuation. If we permanently discontinue the Service, we will provide at least 30 days advance notice. In that event, we will issue refunds for unused paid Credits on a pro-rata basis. Free Credits have no monetary value and will not be refunded.
Due to the nature of digital processing credits, all sales are final unless otherwise required by applicable law. If you experience a technical issue that prevents you from using Credits you have purchased, contact us at support@clipbadger.com and we will review your request on a case-by-case basis.

We respect intellectual property rights. If you believe that content accessible through the Service infringes your copyright, please send a notice to support@clipbadger.com with the following information: a description of the copyrighted work, a description of where the infringing material is located, your contact information, a statement of good faith belief that the use is not authorized, and a statement under penalty of perjury that the information is accurate.
We will respond to valid DMCA notices and, where appropriate, disable access to infringing content. Repeat infringers may have their accounts terminated.
The Service, including its design, functionality, code, and branding, is the property of Clip Badger and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or reverse engineer any part of the Service without our written permission.
The service is provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied. We disclaim all warranties including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We make no warranties about the accuracy, reliability, or suitability of AI-generated editing suggestions. You acknowledge that AI outputs require human review and that you are solely responsible for the content of any final export.
We do not warrant that the Service will be uninterrupted, error-free, or available at any particular time.
To the maximum extent permitted by applicable law, Clip Badger and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of the Service.
Our aggregate liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) $100 or (b) the total amount you paid to us in the twelve months preceding the claim.
You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand arising out of your use of the Service, your uploaded content, your breach of these Terms, or your violation of the rights of a third party.
These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Colorado, and you consent to personal jurisdiction in those courts.
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason including violation of these Terms, suspected fraud, abuse, or excessive resource consumption. Upon termination for cause, your right to use the Service ceases immediately and any remaining paid Credits are forfeited without refund.
You may request account deletion at any time by contacting us at support@clipbadger.com or by using the account deletion option in the app. If you voluntarily delete your account, any unused paid Credits are forfeited and are not eligible for a refund. Free Credits have no monetary value and are not refunded under any circumstances. Upon account deletion, all associated personal data will be removed within 30 days.
We reserve the right to modify these Terms at any time. If a revision is material, we will provide at least 30 days notice via email or a notice within the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
